Establishment of the Society

On 2 December 2003 the Italian Chapter of the European Hernia Society (EHS) was established, named Italian Society of Hernia and Abdominal Wall Surgery (ISHAWS), Società Italiana di Chirurgia dell’Ernia e della Parete Addominale.

The Founding Members of ISHAWS are Prof. G. Campanelli, Prof. F. Corcione and Prof. V. Mandalà. The Founding Members are members of the Executive Board by right.

Aims of the Society

The Italian Society of Hernia and Abdominal Wall Surgery, Italian Chapter of the European Hernia Society (EHS), is a non-profit scientific society whose aims are to:

Be affiliated with the international Board of the EHS and be an integral part of the EHS with qualified national representation.

Promote and support, in Italy and abroad, the development of technical and scientific research in abdominal wall repair surgery. To this end a Research Group (Hernia Research Group) has been established, coordinated by a head appointed by the Board of Directors (Executive Board).

Encourage and develop scientific papers, multicentre trials and national guidelines, and verify and control quality in line with European standards for abdominal wall repair surgery. To this end a Scientific Committee has been set up, made up of at least three members of the Society appointed by the Board of Directors (Executive Board).

Promote, in collaboration with university, hospital, public and private institutions, educational and scientific activities through advanced courses, congresses and conferences under the aegis of the EHS. For these purposes, in 2009 it established the Italian School of Hernia and Abdominal Wall Surgery, structured as a training pathway with various levels of preparation (theoretical, practical and advanced) in abdominal wall repair surgery, entrusted to a Director and a Teaching Committee appointed by the Board of Directors (Executive Board).

Foster links with institutions in Italy and abroad for exchanges of experience and staff, allowing genuine updating on technical and technological developments in the field.

Promote the dissemination of scientific information through texts, multimedia audiovisual material and websites, and in particular run its own website on abdominal wall repair surgery. To this end a Video Library (Hernia Video Library) has been created to collect contributions sent by members, coordinated by a head appointed by the Board of Directors (Executive Board).

Create databases on the subject.

Publish on the website (www.ishaws.it) all scientific activities produced by members or promoted by the Society.

The Society and its legal representatives may not carry out or take part in business activities, with the exception of activities carried out within the National Continuing Medical Education Programme (ECM).

The Society’s institutional aims do not include the trade-union protection of its members, nor does it carry out, directly or indirectly, any trade-union activity.

Annual General Assembly

In order to organise and carry out its stated aims and to review the state of the art, the ISHAWS Board of Directors (Executive Board) and the participating members will meet annually in a general assembly on the occasion of the Congress of the Italian Society of Surgery (SIC) and/or the International Congress of the EHS. The assembly is valid regardless of the number of members present and decides by simple majority on the items on the agenda. During the meeting the following reports for the current year will be presented: by the Secretary on scientific activities and memberships, by the National Delegate on relations with the EHS, and by the Treasurer on the annual final accounts and the Society’s budget. Amendments to the Statute also require the approval of the majority of the Founding Members.

Assets

The assets of ISHAWS consist of the membership fees paid to the chapter, which will be transferred to the EHS for the share due to it; ISHAWS members are therefore also members of the EHS and are entitled to receive the official journal of the EHS, “Hernia”, published by Springer-Verlag. The assets may also include funds from contributions by public and private bodies, donations, bequests from individuals and anything else expressly left to the Society. Any income from these assets will be used for administrative expenses, teaching activities, scientific projects and anything else related to the Society’s purposes. The final accounts, budgets and paid appointments will be published on the website (www.ishaws.it).

Membership

All graduates in Medicine and Surgery may join ISHAWS, as may representatives of companies in the sector and the companies themselves, as supporting members, if they are interested in the activities of ISHAWS and may act as its sponsors. Members are divided into:

All members, with the exception of honorary members, must pay the membership fee annually and on time. For supporting members the minimum annual fee is ten times the ordinary fee. Failure to pay the membership fee will result in the loss of membership for each category of member, the loss of office or, for applicants, the impossibility of joining. Membership of ISHAWS is obtained by simple request, by completing the form provided on the website and paying the fee by bank transfer or credit card.

Organisational structure

The governing body of ISHAWS is the Board of Directors, composed as follows:

Founding Members, as mentioned above;
President, who is the outgoing National Delegate;
National Delegate, appointed by the International Board of the EHS on the proposal of the outgoing Board of Directors (Executive Board), which selects them from among members in good standing;
Board of Directors (Executive Board), made up of eight duly registered members elected by vote of the Members’ Assembly. The Board of Directors entrusts two of its elected councillors with the roles of:
°Secretary
°Treasurer
Website Delegates, made up of 2 members elected in the same way as the Councillors, without voting rights;

Term of office

° Institutional positions have a three-year term, with the exception of the Founding Members, who are members by right.
° Members of the Board of Directors may be re-elected for two terms. They must declare that they have no conflicts of interest with their role in the Society and that they have not received any final criminal conviction in relation to the Society’s activities.
° Elections to renew the institutional positions, held every three years, will take place by vote of the members entitled to vote, who may express their preferences electronically. At least thirty days before the election date, the Secretariat will send all members a list of the candidates standing for the Board of Directors. In the event of a tie, a new vote will be held among those entitled, limited to the tied candidates.

Duties:

– The President, the legal representative of the Society, is responsible for administration together with the Secretary and the Treasurer. The President convenes the Board of Directors and, in agreement with it, organises scientific and outreach activities, and acts as the contact with companies for any sponsorship.
– The National Delegate is the official representative of ISHAWS (Italian Chapter) at the EHS. Working closely with the President, the National Delegate acts as a link between ISHAWS and the EHS, supporting any requests and reporting the decisions taken by both parties.
– The Secretary assists the President in carrying out their duties and keeps the up-to-date register of members and their contact details. Together with the Website Delegates, the Secretary is responsible for promptly informing all members of the Society’s activities.
– The Treasurer manages the membership fees, requests payment of annual fees, makes documented operating expenses and, in liaison with the National Delegate, transfers the shares due to the EHS. The Treasurer manages the Society’s assets and presents the final accounts for the current year and the budget for the coming year.
– The two Web Delegates assist the webmaster in updating the Society’s website and liaise with the institutional officers on editorial choices for the site. They manage the video library collecting the contributions sent by members, coordinated by a head appointed by the Board of Directors, and publish on the website (www.ishaws.it) all scientific activities produced by members or promoted by the Society.
– The Scientific Committee, made up of at least three members of the Society appointed by the Board of Directors, verifies and controls quality in line with European standards for abdominal wall repair surgery and assesses the scientific value of any research undertaken under the aegis of the Society.
– National School of Abdominal Wall Surgery

The Teaching Council of the School is made up of:
° the Director of the School, appointed by the Board of Directors;
° the Founding Members (G. Campanelli, P.L. Ipponi and P. Negro), with permanent appointment;
° the President, the National Delegate, the Secretary and the Treasurer of ISHAWS in office, and 2 members with a three-year appointment, chosen from among ISHAWS members by the Board of Directors at the start of its term.

The Council directs and organises teaching activities, appoints the teachers, accredits the Regional Centers for practical training and, at the end of the courses, awards the corresponding diplomas. The teaching staff is made up of experts in the field who have been members of the Society for at least three years, who have applied for the role and, aware of their responsibilities, have accepted the School’s teaching plan and the generally accepted ethical and professional standards. The Council reserves the right, at its sole discretion, to assign and revoke appointments. ISHAWS members undertake not to carry out scientific or educational activities in this field, nationally or internationally, under the aegis or patronage of the E.H.S. without the express consent of the President and the National Delegate.

Costituzione della Società

In data 2 Dicembre 2003 è costituito l’Italian Chapter (Capitolo Italiano) della European Hernia Society (EHS),denominato Italian Society of Hernia and Abdominal Wall Surgery (ISHAWS), Società Italiana diChirurgia dell’Ernia e della Parete Addominale.

Finalità della Società

La Italian Society of Hernia and Abdominal Wall Surgery, Capitolo Italiano della European Hernia Society (EHS), è una società scientifica senza fini di lucro che si propone di:

Afferire al Board internazionale dell’EHS, e di far parte integrante dell’EHS con una qualificata rappresentanza nazionale.

Promuovere e favorire in Italia e all’Estero lo sviluppo della ricerca tecnico – scientifica inerente la chirurgia riparativa della parete addominale. Con questo obiettivo è costituito un Gruppo di Ricerca (Hernia Research Group), coordinato da un responsabile, indicato dal Consiglio Direttivo (Executive Board)

Incoraggiare e sviluppare lavori scientifici, trials multicentrici e linee guida in ambito nazionale, verifica e controllo della qualità, adeguandola agli standard europei sulla chirurgia riparativa della parete addominale. A tale fine viene costituito un Comitato Scientifico (Scientific Committee) composto da almeno tre membri della Società, indicati dal Consiglio Direttivo (Executive Board)

Promuovere in collaborazione con Istituzioni Universitarie, Ospedaliere, pubbliche e private, attività didattiche e scientifiche tramite corsi di perfezionamento, congressi e convegni, che abbiano l’egida dell’EHS. Con queste finalità ha istituito a partire dal 2009 la Scuola Italiana di Chirurgia dell’Ernia e della Parete Addominale (Italian School of Hernia and Abdominal Wall Surgery), articolata su di un percorso formativo comprendente vari gradi di preparazione (teorica, pratica ed avanzata) sulla chirurgia riparativa della parete addominale, affidata ad un Direttore e ad un Comitato Didattico, indicati dal Consiglio Direttivo (Executive Board).

Favorire collegamenti con istituzioni in Italia e all’estero per interscambi di esperienze e di personale che permettano un reale aggiornamento circa le novità tecniche e tecnologiche inerenti alla materia.

Promuovere la divulgazione dell’informazione scientifica tramite testi, audiovisivi multimediali, siti internet, e in particolare organizzare un proprio sito sulla chirurgia riparativa della parete addominale. A tale fine viene costituita una Videolibreria (HerniaVideo Library) per la raccolta dei contributi inviati dai soci, coordinata da un Responsabile, indicato dal Consiglio Direttivo (Executive Board)

Realizzare banche dati sulla materia

Pubblicazione sul sito web (www.ishaws.it) di ogni attività scientifica prodotta dai membri o promossa dalla Società

La Società ed i suoi legali rappresentanti non possono esercitare attività imprenditoriali o di partecipazione ad esse, con l’eccezione delle attività svolte nell’ambito del Programma Nazionale di Formazione Continua in Medicina (ECM)

La Società non ha tra le finalità istituzionali la tutela sindacale dei propri iscritti, né svolge direttamente o indirettamente alcuna attività sindacale.

Assemblea Societaria Annuale:

Allo scopo di organizzare e di attuare le finalità prestabilite e di verificare lo stato dell’arte, il Consiglio Direttivo (Executive Board) dell’ISHAWS ed i soci partecipanti si riuniranno annualmente in occasione del Congresso della Società Italiana di Chirurgia (SIC) e/o in occasione del Congresso Internazionale dell’EHS, in assemblea, che sarà comunque valida a prescindere dal numero dei soci presenti e delibera a maggioranza semplice sugli argomenti all’ordine del giorno.Nel corso della riunione saranno eseguite le relazioni consuntive, per l’anno in corso, da parte del Segretario, riguardo l’attività scientifica svolta e le iscrizioni, del National Delegate, riguardo i rapporti con EHS, e del tesoriere per il bilancio Consuntivo annuale e preventivo della società. Per le modifiche statutarie è necessaria anche l’approvazione della maggioranza dei Soci Fondatori.

Aspetti Patrimoniali:

Il patrimonio dell’ ISHAWS è costituito dalle quote di iscrizione al capitolo, che saranno versate all’EHS per la quota di sua spettanza, per cui i soci aderenti all’ISHAWS saranno contemporaneamente soci dell’EHS, e avranno diritto a ricevere l’organo ufficiale di stampa dell’EHS, la rivista “Hernia” edita da Springer-Verlag. Inoltre il patrimonio sarà costituito da eventuali fondi derivanti da contributi di Enti pubblici e privati, donazioni, lasciti di privati e quant’altro lasciato espressamente ad esso. Le eventuali rendite patrimoniali verranno erogate per spese di amministrazione, attività didattica, realizzazione di progetti scientifici e quant’altro inerente alla materia. E’ prevista la pubblicazione sul sito (www.ishaws.it) dei bilanci consuntivi, preventivi e degli incarichi retribuiti.

Adesioni:

Potranno aderire all’ ISHAWS tutti i laureati in Medicina e Chirurgia, nonché i rappresentanti delle aziende di settore e le stesse aziende, come soci sostenitori, interessate all’attività dell’ ISHAWS e che di questa potrebbero essere sponsor. I soci si distinguono in:

Tutti i soci, ad eccezione dei soci onorari, sono tenuti al pagamento annuale e tempestivo della quota d’iscrizione. Per i Soci sostenitori la quota d’iscrizione annuale minima è pari a dieci volte la quota ordinaria. Il mancato pagamento della quota associativa determinerà la decadenza dell’affiliazione per ciascuna delle categorie dei soci, il decadimento della carica o l’impossibilità ad iscriversi per i richiedenti. Le iscrizioni all’ISHAWS avvengono tramite semplice richiesta degli interessati, compilando la scheda predisposta sul sito web e pagamento della relativa quota tramite bonifico o carta di credito.

STRUTTURA ORGANIZZATIVA:

Organo direttivo dell’ISHAWS è il Consiglio Direttivo, così costituito:

Soci Fondatori (Founding Members) già sopra menzionati;
Presidente (President), identificato nel Delegato Nazionale uscente;
Delegato Nazionale (National Delegate) designato dall‘ International Board dell’EHS su proposta del Consiglio Direttivo uscente (Executive Board) che lo sceglie tra i soci in regola con l’iscrizione;
Consiglio Direttivo (Executive Board) composto da otto membri, regolarmente iscritti, eletti per votazione dall’Assemblea della Soci. Il Consiglio Direttivo affida a due consiglieri eletti le funzioni di:
°Segretario (Secretary)
°Tesoriere (Treasurer)
Delegati al sito web (Website Delegates), composto da 2 membri eletti con le modalità dei Consiglieri, senza diritto di voto;

Mandato:

° Le cariche istituzionali hanno un mandato di tre anni, ad eccezione dei Soci Fondatori che ne fanno parte di diritto.
° I Membri del Consiglio Direttivo possono essere rieletti per due mandati. Devono dichiarare di non aver conflitti di interesse con il loro incarico sociale e di non aver subito sentenze di condanna passate in giudicato in relazione all’attività della società stessa.
° L’elezione per il rinnovo delle cariche istituzionali, con cadenza triennale, avverrà attraverso il suffragio dei soci aventi diritto, che potranno esprimere le loro preferenze attraverso via telematica. La Segreteria invierà a tutti gli iscritti una lista di candidati che si sono proposti per presiedere al Consiglio Direttivo, almeno trenta giorni prima della data elettorale. In caso di parità tra le preferenze, sarà richiesto un nuovo suffragio tra gli aventi diritto, limitatamente ai contendentiFunzioni:

– Il Presidente, rappresentante Legale della Società, ha compiti di amministrazione in collegamento con il Segretario e il Tesoriere. Convoca il Consiglio Direttivo e in accordo con esso organizza l’attività scientifica e divulgativa. Si fa tramite con le Aziende per eventuali sponsorizzazioni.
– Il Delegato Nazionale è il rappresentante ufficiale dell’ISHAWS (Italian Chapter) presso l’EHS. In stretta collaborazione con il Presidente, svolge un ruolo di collegamento tra l’ISHAWS e l’EHS, sostenendo eventuali richieste e riportando le decisioni prese da entrambe le parti.
– Il Consigliere Segretario, coadiuva il Presidente nello svolgimento delle sue funzioni si fa carico dei registri aggiornati dei soci e dei relativi recapiti. In collaborazione con i Delegati al sito web si fa carico di comunicare tempestivamente a tutti i Soci le attività della Società.
– Il Consigliere Tesoriere custodisce le quote di iscrizione, sollecita il pagamento delle quote annuali, effettua spese documentate di gestione, provvede, in collegamento con il Delegato Nazionale, al versamento delle quote spettanti all’EHS. Gestisce il patrimonio della società e presenta il bilancio consuntivo per l’anno in corso e quello di previsione per l’anno a venire.
– I due Web Delegate hanno la funzione di coadiuvare il webmaster nell’aggiornamento del sito web societario e si fanno tramite con le cariche istituzionali per le scelte editoriali da effettuare sul sito. Gestiscono la videolibreria per la raccolta dei contributi inviati dai soci, coordinata da un Responsabile, indicato dal Consiglio Direttivo. Pubblicano sul sito web (www.ishaws.it) ogni attività scientifica prodotta dai membri o promossa dalla Società.
– Comitato Scientifico (Scientific Committee) composto da almeno tre membri della Società, su indicazione del Consiglio Direttivo, svolge funzioni di verifica e controllo della qualità, adeguandola agli standard europei sulla chirurgia riparativa della parete addominale e valuta il valore scientifico di eventuali ricerche intraprese sotto l’egida della società.
– Scuola Nazionale di Chirurgia della Parete Addominale

Il Consiglio Didattico della Scuola è composto da:
° Direttore della Scuola, che è nominato dal Consiglio Direttivo.
° Membri Fondatori ( G. Campanelli, P.L.Ipponi e P.Negro) con incarico permanente
° Presidente, dal National Delegate, dal Segretario, dal Tesoriere ISHAWS in carica e da 2 membri a incarico triennale, scelti fra i Soci dell’ ISHAWS dal Consiglio Direttivo all’inizio del suo mandato.

Il Direttivo svolge funzione di indirizzo e di organizzazione dell’attività didattica, nomina i docenti, accredita i Centri Regionali per la formazione pratica e al termine dei corsi rilascia i corrispettivi diplomi. Il Corpo Docente è costituito da esperti della materia, iscritti alla Società da almeno tre anni, che abbiano formulato una richiesta di incarico e, coscienti del proprio ruolo, abbiano accettato il piano didattico della Scuola nonché le più comuni norme etico-professionali. Il Direttivo, a suo insindacabile giudizio, si riserva l’assegnazione e la revoca degli incarichi. I soci dell’ISHAWS si impegnano a non attuare attività scientifiche o didattiche, inerenti la materia, in campo nazionale e internazionale, sotto l’egida o il patrocinio dell’E.H.S., senza l’espresso consenso del Presidente e del Delegato Nazionale.
